This End-User License Agreement ("Agreement") is a legal contract between you ("You" or "Licensee") and THE LOCKBOXX, LLC, a Florida limited liability company ("Lockboxx", "we", "us", or "our"), governing your use of the Circuit Bandit audio plugin software and all accompanying files, documentation, and presets (collectively, the "Software").

By downloading, installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of the applicable license fee, Lockboxx grants you a non-exclusive, non-transferable, revocable license to install and use the Software on up to two (2) computers that you own or control, solely for your personal or commercial audio production use.

Your license key is unique to you and must not be shared, disclosed, or distributed to any third party.

2. What You May Do

Install and use the Software on the permitted number of computers you own or control.
Use the Software in your commercial music, film, game, podcast, and audio productions with no additional royalty owed to Lockboxx.
Move the Software between your own computers by deactivating your license on one machine and activating it on another (see the "License" panel inside the plugin, or contact support@inthelockboxx.com if activation transfer fails).
Make one backup copy of the installer file for archival purposes.

3. What You May NOT Do

You may not, and may not permit any third party to:

Copy, redistribute, or resell the Software or your license key, whether for money or free of charge.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or trade secrets of the Software, except to the extent this restriction is prohibited by applicable law.
Modify, adapt, translate, or create derivative works based on the Software.
Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software.
Rent, lease, sublicense, or lend the Software to any third party.
Bundle the Software with any other product or distribute it as part of a plugin pack, sample library, or similar collection, without express prior written permission from Lockboxx.
Use the Software in any manner that violates applicable law.

4. Ownership and Intellectual Property

The Software is licensed, not sold. Lockboxx and its licensors retain all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, and other intellectual property rights. No rights are granted to you other than those expressly set forth in this Agreement.

The "Circuit Bandit" name, the "Lockboxx" name, and any associated logos are trademarks of THE LOCKBOXX, LLC. You may reference "Circuit Bandit" for the purpose of describing productions made with the Software (e.g., "processed with Circuit Bandit"), but you may not use these marks to imply endorsement or affiliation without written permission.

5. License Activation and Deactivation

The Software includes a license-key-based activation system. You must activate your license by entering your license key within the plugin. Prior to activation (or if activation fails), the Software may operate in a limited "demo" mode with periodic audio muting.

You may deactivate your license from any authorized machine via the "License" panel in the plugin, freeing up an activation slot for use on another machine. If you exceed the maximum number of activations, contact support@inthelockboxx.com for assistance.

6. Updates and Support

Lockboxx may, at its sole discretion, make updates, bug fixes, or new versions of the Software available to licensed users. Such updates are provided under the terms of this Agreement.

Lockboxx provides customer support via email at support@inthelockboxx.com. Response times may vary, but we aim to respond within two (2) business days.

7. Term and Termination

This Agreement is effective upon your acceptance and continues until terminated. Lockboxx may terminate this Agreement immediately, without notice, if you materially breach any of its terms. Upon termination:

Your license to use the Software immediately ends.
You must uninstall all copies of the Software from all machines and destroy any backup copies.
Lockboxx may remotely deactivate your license key.

Termination will not entitle you to any refund of amounts previously paid, except as expressly set forth in our Refund Policy.

8. No Warranty — "AS IS"

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, Lockboxx disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Lockboxx does not warrant that the Software will be uninterrupted, error-free, compatible with any specific host application, or free from security vulnerabilities.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, in no event will Lockboxx, its members, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, work stoppage, computer failure, or business interruption, arising out of or in connection with the Software or this Agreement, even if Lockboxx has been advised of the possibility of such damages.

Lockboxx's total aggregate liability to you for all claims arising out of or relating to this Agreement or the Software will not exceed the greater of (a) the amount you actually paid for the Software in the twelve (12) months preceding the claim, or (b) fifty US dollars (US $50).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitation applies only to the extent permitted by law.

10. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement will be resolved in the state or federal courts located in Hillsborough County, Florida, and you consent to the exclusive jurisdiction and venue of such courts.

11. Export Compliance

You represent that you are not located in a country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties.

12. Entire Agreement; Changes

This Agreement, together with our published Terms of Service, Privacy Policy, and Refund Policy at https://inthelockboxx.com/, constitutes the entire agreement between you and Lockboxx regarding the Software. Lockboxx may update this Agreement from time to time by posting the updated version at the same URL. Continued use of the Software after the effective date of an updated Agreement constitutes acceptance of the changes.
